GENERAL TERMS AND CONDITIONS OF CONTRACT

These terms govern the relationship between Lorena Escolar Marín (hereinafter, “the Provider”) and the users of the website internationalwomenconductors.com, as well as any other communication channels enabled by the Provider. These terms shall be binding from the moment a financial transaction is completed.

The Provider, committed to transparency and clarity in its commercial relations, recommends that users carefully read these terms before purchasing any of the programs, products, or services offered.

Given the international nature of the services, the Provider operates in compliance with the applicable regulations on electronic commerce and consumer rights in the countries where it conducts business, always respecting the relevant international agreements.

2. ACCEPTANCE AND EVIDENCE OF ACCEPTANCE

To access the subscription to the “Women Conductors” Community, offered by Lorena Escolar Marín in the Freemium, Basic, or Premium modalities, the user must provide the required information for registration and subscription through the platform or the private area of the website internationalwomenconductors.com.

The information provided must be accurate, complete, and up to date at all times. Any inaccuracy in the data provided may result in the suspension or termination of the contractual relationship with the Provider.

Once the user completes the registration and activates their subscription, they acquire the status of a member of the community.

Subscription Validation

Validation of the subscription implies that the user:

• Has read, understands, and accepts these general terms and conditions.
• Is legally capable of entering into a contract.
• Assumes the obligations and rights arising from their membership, according to the selected modality (Freemium, Basic, or Premium).

Unless proven otherwise, the data recorded during the registration and subscription process shall constitute proof of all transactions carried out between the Provider and the user.

Once the subscription is confirmed, the Provider will send the user an email confirming their membership within a maximum period of 24 hours. If the user detects any errors in the recorded data, they may request a correction or contract cancellation under the terms set forth in these conditions.

 

3. PURPOSE OF THE CONTRACT

The purpose of this contract is to regulate the contractual relationship between Lorena Escolar Marín (hereinafter, “the Provider”) and the users of the “Women Conductors” Community, established through the subscription process on the website internationalwomenconductors.com or other channels enabled by the Provider.

The subscription implies acceptance of these general terms and conditions and grants access to the Freemium, Basic, or Premium membership modalities, as selected by the user during the registration process.

A. Description of the Services Offered

1. Freemium Modality: This free modality includes:
   • Monthly emails with project updates.
   • Access to a blog with informative content, including tributes to significant women in the musical field.
   • Compilation of job offers and informational articles of professional interest.
   • Notices and summaries of information published on the website, as well as commercial content relevant to the community.
   • Freemium users will not have access to a visible directory or the ability to create an artistic profile.
2. Basic Modality: In addition to the benefits of the Freemium plan, this paid modality includes:
   • The ability to create an artistic profile associated with a specific category (choir, band, or orchestra), including basic professional information, which will appear in the Community Directory and be visible to other paid subscribers with specific search filters.
   • Access to the community forum and exclusive posts shared by members on the platform.
   • Promotion of the participating conductors on the community’s social media.
3. Premium Modality: In addition to the benefits of the Freemium and Basic plans, this paid modality includes:
   • Access to a collaboration agreement template (legal commitment) that Premium subscribers may use to formalize collaborations arising within the Community.

         

B. Exclusive Nature of the Community

The community is exclusively for female conductors or conducting students, who must provide proof of training, experience, or professional affiliation to access any subscription modality. This requirement reinforces the Provider’s commitment to the professional and exclusive nature of the community.

C. Community Rules

Upon subscribing to any modality of the Women Conductors Community, members agree to act in good faith and comply with the following rules to maintain a respectful, professional, and collaborative environment:

1. Respectful Interaction:
   • All members must interact with honesty, professionalism, and mutual respect.
   • Comments must be constructive and acknowledge the opinions and experiences of others.
   • Offensive, discriminatory, aggressive, or harassing comments will not be tolerated.
2. Content Relevance:
   • Shared content in chats, forums, and artistic profiles must be relevant to the community’s theme and contribute positively to the supportive and learning environment.
   • Sharing explicit, violent, illegal, or copyright-infringing content is strictly prohibited.
3. Confidentiality:
   • Members must respect the confidentiality of experiences and content shared by other participants.
   • It is not permitted to disclose personal information, stories, or details discussed within the community without explicit consent.
4. Reporting Inappropriate Behavior:
   • Any member observing inappropriate behavior or content violating these rules must report it to the moderators.
   • The Provider reserves the right to moderate, edit, or remove inappropriate content and expel members who violate these rules.
5. Responsibility for Content:
   • Each member is responsible for their own comments and shared content.
   • The Provider is not responsible for opinions or content generated by users but commits to acting diligently upon any reported violations.
6. Intellectual Property Rights:
   • All materials, whether written, audiovisual, or otherwise, shared by the Provider or members are protected by copyright.
   • The reproduction, distribution, public communication, transformation, or any other exploitation of these contents without prior written consent is prohibited. 

 D. Language

The language of the content offered within the Women Conductors Community services and resources, as well as these General Terms and Conditions, shall be English.

E. Prices and Taxes

The price of each subscription plan offered by Women Conductors will be communicated by Lorena Escolar Marín before completing the subscription process through the website internationalwomenconductors.com. The Service Provider reserves the right to modify the current prices at any time and at its sole discretion, so it is recommended to check the updated information before completing the subscription.

In any case, such changes will only affect new subscriptions unless a price variation is expressly communicated to existing subscribers in paid plans, in which case they may terminate their subscription.

Subscription prices include Spanish VAT. However, the final price may vary depending on the applicable VAT rate in the subscriber’s country of residence and the nature of the contracted services.

In accordance with the provisions of Law 37/1992 of December 28, regulating VAT, and European Directive 2008/8/EC, the transaction may be exempt from or not subject to VAT depending on factors such as:
● The subscriber’s country of residence.
● Whether the subscriber is an individual consumer or a professional/business entity.
● The nature of the contracted service (e.g., whether the services are VAT-exempt, such as certain educational activities).

Consequently, in some cases, the final price may differ from the one initially published on the sales page.

F. Accepted Payment Methods

The payment for the Basic and Premium subscription plans offered by Women Conductors will be processed exclusively through the Stripe payment platform, ensuring a secure and efficient management of payment data.

Charges will be processed automatically on a monthly basis, debited from the credit or debit card provided by the user at the time of subscription.

The renewal date will coincide with the day the first payment was made. For example, if a user subscribes on January 10, the next charge will be made on February 10.

Users must ensure that their card details are up to date to avoid service interruptions.

G. Subscription Process

The services and subscription plans offered by Women Conductors may be contracted electronically through the payment platform linked on the website internationalwomenconductors.com or through other channels enabled by the Service Provider.

To register for any of the subscription plans (Freemium, Basic, or Premium), applicants must demonstrate education or experience in the field of conducting. This ensures the exclusivity and professionalism of the community.

To access the Basic and Premium plans and be listed in the community directory for potential collaboration or professional engagement, applicants must meet at least one of the following criteria, as applicable:

1. Conducting Students:
   ○ Provide proof of enrollment in an official conducting program.
   ○ If underage, provide express authorization from legal guardians.
2. Conductors with Academic Degrees:
   ○ Submit a copy of their degree certifying training in conducting.
3. Amateur Ensemble Conductors:
   ○ Provide an employment contract or a recording demonstrating conducting experience.

 

The Service Provider reserves the right to verify the documentation provided by applicants to ensure compliance with the established requirements and to maintain the professionalism and exclusivity of the community.

 

4. DURATION OF THE CONTRACT

The contract shall become effective once the user accepts these terms and completes the corresponding payment, extending until the subscription is terminated.

The user may cancel their subscription at any time before the renewal date of the following month. However, cancellations made during an already billed period will not entitle the user to a refund of the proportional amount corresponding to that period.

In addition to voluntary cancellation, the contractual relationship may be terminated early in the following cases:

1. Failure to make payments within the established deadlines.
2. Breach of contractual obligations by the user, including non-compliance with Community Rules.
3. Mutual agreement between the parties, with the total price being prorated according to the services effectively provided.
4. Discontinuation of the Service Provider’s professional activities or declaration of bankruptcy or insolvency.
5. Any other cause for termination recognized under applicable law.

 

Early termination of the contract will result in the loss of access and rights related to the contracted services.

The fact that the Service Provider does not immediately invoke a cause for termination shall not constitute a waiver of its right to enforce it later. The Service Provider may invoke such non-compliance at any time within the applicable legal deadlines to terminate the contract and exercise its corresponding rights under these terms and applicable regulations.

 

5. RIGHT OF WITHDRAWAL

The right of withdrawal allows consumers to return a product or cancel a service within 14 calendar days of contracting it, without needing to justify their decision or incurring any penalties, in accordance with the Spanish General Consumer and User Protection Law (Royal Legislative Decree 1/2007 of November 16).

However, the law recognizes exceptions to this right, including cases where the service has already been executed or access to digital content has been granted.

As the subscription provides immediate access to digital content, the user agrees that they will not be able to exercise the right of withdrawal once their subscription has been activated and they have accessed the content.

Only if access to digital content has not been granted may the user exercise their right of withdrawal within 14 calendar days from the date of contracting. To do so, they must send an email to management@internationalwomenconductors.com, including:
● Their full name.
● The acquired product.
● An express request for withdrawal.

Additionally, a withdrawal form is available in Annex 1 of these terms.

If the subscription was contracted for purposes related to the user’s professional activity (business, trade, or profession), the user will not be considered a consumer under the General Consumer and User Protection Law. In such cases, the right of withdrawal will not apply under any circumstances.

 

6. LEGAL WARRANTY AND LIABILITY

The digital content provided by Women Conductors is covered by a two-year legal warranty against non-conformity, in accordance with the General Consumer and User Protection Law (Royal Legislative Decree 7/2021 of April 27).

If non-conformity arises within the first year from the delivery of the digital content, it is presumed that the defect existed at the time of delivery unless proven otherwise or when such a presumption is incompatible with the nature of the product or the defect.

If non-conformity arises after the first year, the user must demonstrate that the defect originated at the time of delivery for the legal warranty to apply.

To request warranty assistance, the corresponding purchase invoice must be presented.

Any issues, clarifications, or claims must be communicated via email to management@internationalwomenconductors.com, including:
● Full name.
● Description of the issue or non-conformity.
● Purchase proof (invoice or receipt).

 

7. DISCLAIMER OF LIABILITY

Women Conductors does not guarantee the continuous and uninterrupted availability of the offered services and shall not be held liable for any damages arising from interruptions, technical failures, or user expectations when these result from:

1. Causes beyond the Service Provider’s control or force majeure.
2. Malfunctions or issues caused by improper use of services by the user or third parties.
3. Scheduled maintenance or content updates.
4. Viruses, cyber-attacks, or third-party actions limiting access to services.
5. Internet connectivity failures.
6. Unforeseeable or unavoidable circumstances.

 

The user acknowledges and accepts these circumstances within reasonable limits, expressly waiving any claims against the Service Provider for potential failures, errors, or service interruptions.

Additionally, the Service Provider expressly disclaims liability in the following cases:

1. Improper or bad-faith use: The Service Provider shall not be liable for damages resulting from negligent, improper, or bad-faith use of the services.
2. Communication failures: The Service Provider shall not be liable for communication failures due to incorrect email addresses or false data provided during registration.
3. Unmet personal expectations: The Service Provider does not guarantee that services will meet each user’s specific expectations or needs and shall not be liable for damages arising from improper use.

 

Women Conductors acts solely as a facilitator of professional relationships among conductor members, providing general tools such as a collaboration contract template for premium subscribers.

The Service Provider does not guarantee the applicability of these contracts under different legal frameworks and assumes no responsibility for legal, tax, or labor obligations arising from international projects. Users are advised to seek legal counsel in their jurisdictions.

 

8. CONFIDENTIALITY

All information and documentation used during the contracting, development, and execution of the services offered by Women Conductors shall be considered confidential. This includes, but is not limited to, personal data, texts, images, or any other content shared between the parties under this contract.

The following information shall not be considered confidential:

1. Information that is in the public domain or becomes public without any breach by either party.
2. Information already in the possession of one of the parties before being provided by the other.
3. Information lawfully acquired, free of restrictions, from sources other than the other party.
4. Information disclosed by either party concerning itself.
5. Information that must be disclosed by legal mandate, court order, or competent authority directive.

Both parties undertake to maintain confidentiality indefinitely, even after the termination of the contract. In particular, this obligation extends to all information received from subscribers, such as images, texts, or other data, which shall be treated with the utmost confidentiality. Therefore, the transfer of such information to third parties is strictly prohibited without the express consent of the subscriber and solely for the specific purpose for which it was collected.

Any breach of this obligation shall result in the corresponding legal actions, including the right to claim damages.

 

9. DATA PROTECTION

In compliance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (GDPR) and Organic Law 3/2018 of 5 December on the Protection of Personal Data and Guarantee of Digital Rights (LOPDGDD), users are informed about the processing of their personal data as follows:

The personal data provided by users will be processed for the following purposes:

1. Managing the contracting of services and the contractual relationship derived from the subscription.

For paying subscribers, the data and images included in their artistic profile will be visible to other paying subscribers through the directory available on the platform.
3. Communicating updates, news, and content related to the contracted services.
4. Complying with applicable legal obligations.

Legal Basis for Processing
The processing of personal data is based on the following legal grounds:

1. Performance of a contract: Management of the subscription and access to the contracted services.
2. Compliance with legal obligations: Fiscal, administrative, and data protection obligations.
3. Legitimate interest: Conducting direct marketing activities targeted at subscribers, pursuant to Article 21.2 of Law 34/2002 of 11 July on Information Society Services and Electronic Commerce, which permits sending electronic commercial communications to existing clients about similar products or services.

Users have the right to object to processing based on legitimate interest for direct marketing purposes at any time by sending a request to management@internationalwomenconductors.com.

Data Retention
Personal data will be retained only for as long as necessary to fulfill the purpose of the processing or for the period legally required for its storage. Once no longer needed, the data will be securely erased or anonymized.

Disclosure to Third Parties
Data will not be disclosed to third parties unless required by law or necessary for service provision.

Exercise of Rights
Users have the right to:

1. Access their personal data and obtain information about its processing.
2. Rectify inaccurate or incomplete data.
3. Delete their data when it is no longer necessary for the purposes for which it was collected.
4. Restrict processing in certain circumstances.
5. Object to processing based on their specific situation.

The Service Provider declares that the data protection measures described in these terms are sufficient to ensure that personal data processing is conducted in compliance with applicable international regulatory standards. Specifically, these measures align with the requirements of the European General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), ensuring the protection of users’ privacy rights, regardless of their geographical location.

 

10. INTELLECTUAL PROPERTY AND PROHIBITIONS

The content, materials, and resources provided as part of the Women Conductors services and subscriptions constitute original works protected by Spanish Intellectual Property Law and other applicable international regulations and conventions. Intellectual property rights over such content belong exclusively to Lorena Escolar Marín.

Unless expressly authorized in writing by the Service Provider, it is strictly prohibited to:

1. Reproduction and Distribution: Copy, distribute, transmit, retransmit, or store content in physical or digital formats.
2. Public Exploitation: Perform acts of public communication, making content available, broadcasting, or retransmitting content.
3. Transformation: Translate, adapt, modify, or create derivative works of the provided materials.
4. Unauthorized Storage: Use unauthorized databases to store or share content.
5. Any Other Use: Carry out any exploitation of the materials that infringes intellectual property, industrial property, or image rights laws.

 

By accepting these general conditions, the user agrees to respect the intellectual and industrial property rights of the Service Provider and third parties. Any breach of this obligation may result in legal action, including claims for damages.

 

11. EUROPEAN CONSUMER REGULATIONS

The European Commission provides an online platform for alternative dispute resolution arising from electronic transactions, in accordance with current consumer legislation.

As the operator of an online service sales channel, Lorena Escolar Marín informs users of this platform’s existence. In the event of disputes where the use of this tool is applicable, users may access it through the following link:

This platform is available only to consumers residing in the European Union whose dispute arises from an online contract with a professional also established in the European Union.

 

12. JURISDICTION AND APPLICABLE LAW

Any dispute arising from the contracting of services offered by Lorena Escolar Marín shall be governed, as a general rule, by Spanish law, unless specific regulations establish the application of another legal system based on the user’s place of residence or the contract’s circumstances.

Regarding jurisdiction, the parties expressly agree to submit to the Courts and Tribunals of the judicial district of Murcia, waiving any other jurisdiction that may apply, unless a special law determines otherwise.
